1. Acceptance and operator
These Website Terms of Use govern your access to unionsoftware.com and its public pages, articles, whitepapers, demonstrations, downloads, and forms (the “Website”). The Website is operated by Union Global through its Union Software business. By using the Website, you agree to these terms. If you do not agree, do not use the Website.
These terms do not govern use of the subscription platform. Platform use is governed by the Platform Terms of Service, the applicable order form, and any negotiated customer agreement.
2. Permitted use
You may use the Website for lawful informational and business-evaluation purposes. You must not:
- Interfere with security, availability, performance, or another person’s use of the Website.
- Attempt unauthorized access, vulnerability scanning, scraping at a volume that burdens the service, or circumvention of technical restrictions.
- Use the Website to distribute malware, unlawful material, deceptive messages, or content that infringes another person’s rights.
- Misrepresent your identity or affiliation, submit false information, or use automated means to abuse a form or download.
- Copy, frame, republish, or commercially exploit substantial parts of the Website except as permitted by law or written authorization.
3. Website content is general information
Website content describes products and practices at a general level and may use illustrative workflows or mock data. It is not legal, labour-relations, financial, accounting, tax, cybersecurity, accessibility, or other professional advice. Product availability, pricing, integrations, and regional features may change and are binding only when included in an order form or customer agreement.
4. Intellectual property
The Website and its design, software, text, graphics, product demonstrations, logos, and other content are owned by Union Software or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive right to access the Website for the permitted purposes in these terms.
You may download a resource that we expressly make available for download and use it internally with attribution. No trademark licence is granted. Feedback may be used by us without restriction or payment, provided we do not identify you publicly without permission.
5. Forms and submissions
You are responsible for information you submit and confirm that you have authority to provide it. Do not send confidential bargaining strategy, member files, medical information, grievance records, payment credentials, or other sensitive content through public website forms or ordinary email. Our handling of personal information is described in the Privacy Policy.
6. Third-party services and links
The Website may link to third-party websites or services. A link does not mean that we endorse or control the third party. Their terms and privacy practices apply when you leave our Website, and we are not responsible for their content, availability, or conduct.
7. Availability and disclaimers
We work to keep the Website accurate and available, but it is provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.
8. Limitation of liability
To the extent permitted by law, Union Software and Union Global will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data arising from Website use. Our aggregate liability relating to the free Website will not exceed CAD $100 or USD $100, as applicable. These limits do not apply where liability cannot be limited by law.
9. Changes and suspension
We may change, suspend, or discontinue any public Website feature and may restrict access to protect users, systems, or legal rights. We may update these terms by posting a revised date. Material changes apply prospectively.
10. Governing law
These terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Courts located in Toronto, Ontario have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any appropriate court and mandatory consumer or local law remains unaffected.
11. General and contact
If one provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a term is not a waiver. These terms, together with policies they expressly incorporate, are the entire agreement for the public Website.
